Information for Shareholders related to the General Meeting Accell Group dated 21 April 2021

The General Meeting (GM) of Accell Group N.V. will be held on Wednesday 21 April 2021, 2.00 p.m. (CET). 

In connection with the current developments regarding the COVID-19 pandemic, whereby the health and safety of all General Meeting participants must be protected, the General Meeting will be held entirely virtually via an interactive webcast.

 

For details related to the registration of shareholders to attend the General Meeting and to cast their votes (or have them casted), you are referred to the document called Convocation as attached below.

 

After the successful registration, shareholders will receive from ABN Amro a registration certificate with which you can get access to the webcast to follow the General Meeting virtually. For access to the webcast, shareholders are asked to send an email including their full name, email address and a copy of the registration certificate to info@accell-group.com until no later than 19 April 2021. You will receive by email a link to complete this registration to attend the General Meeting via webcast including practical information. You will receive this email and link from Accell Group no later than April 20, 2021.

 

Information related to the webcast:

  • The meeting will be held in Dutch, with simultaneous translation into English.
  • Questions can be asked in Dutch or in English.
  • In order to ensure a smooth process of the General Meeting, shareholders are expressly requested to submit their questions about the items on the agenda in writing prior to the General Meeting via investor.relations@accell-group.com or Accell Group N.V. for the attention of Investor Relations, P.O. Box 435, 8440 AK, Heerenveen, the Netherlands. These questions can be submitted until no later than 12:00 noon on Monday, April 19, 2021. Our intention is to answer the questions submitted in advance during the General Meeting.
  • There will be time to submit additional questions during the virtual meeting.
    • Only notified and registered shareholders are allowed to ask questions during the virtual meeting;
    • Only shareholders who have submitted questions before the aforementioned date and time may submit follow-up questions during the meeting, unless this cannot reasonably be required given the circumstances. The Chairman of the meeting may determine further in the interest of the order of the meeting.
