Regulations for the Supervisory Board

These regulations (the "Regulations") were determined by the Supervisory Board (the "Supervisory Board") of Accell Group NV ("Accell") on 23 February 2005 as a result of the Dutch Corporate Governance Code (the "Code") as determined by the Corporate Governance Commission on 9 December 2003. These Regulations were most recently amended on 21 July 2011.
